Paralegal – Business Services

Job Description

Be a part of a growing, dynamic and progressive team of professionals in our Business Services Practice Group! A full-time paralegal is needed to provide legal services for our business and corporate clients relative to corporate formations, business agreements/contracts, leases, commercial closings (for lenders), and to assist the attorneys with day-to-day business matters.

This position requires an individual that is able to think and work independently and understands that their efforts are a critical part of a project.

Duties and Responsibilities:

• Follow the ethical requirements as set forth by the Rules of Professional Conduct for the Commonwealth of Pennsylvania.
• Maintain positive contact with clients and observe confidentiality of client matters and is a liaison between corporate clients, transactional clients, attorneys, and staff.
• Prepare for attorney review and assist in the implementation of first drafts, maintains revisions, and ensure the completeness and accuracy of the following:
• Agreements, contracts, leases, buy-sell agreements, non-compete agreements, and other documents as needed.
• Corporate formation, governance, and compliance issues.
• Assist attorneys with commercial transactions for our lending clients, prepare closing agendas, and determine when due diligence is missing from files and provide the necessary follow-up, handle the post-closing filings and final details.

• A minimum of two years of secondary education, Paralegal certificate, or business degree is preferred
• Prior experience is preferred
• Full-time position.
